In your role as Counsel, Complex Transactions, you will collaborate with various teams—spanning clinical, medical affairs, marketing, finance, business development, and sales—to negotiate, draft, and review a wide array of agreements. This position resides within the Cepheid Legal Department and is designed as a remote opportunity, ensuring flexibility and work-life balance.
As part of your responsibilities, you will have the opportunity to:
- Collaborate with product and commercial teams to address complex legal issues related to software and hardware development, working closely with business and subject-matter experts to identify compliant paths forward.
- Draft and negotiate an extensive range of intricate legal agreements—including data sharing, collaboration, AI agreements, and vendor/customer contracts—to drive groundbreaking initiatives with research partners and enterprise clients.
- Provide insightful legal guidance to technology, product, and commercial teams as they develop and launch innovative data and digital solutions.
- Enhance and create contractual templates, policies, and procedures relevant to advanced technology and digital product offerings.
- Stay informed on applicable laws, regulations, and industry standards, particularly those impacting AI, healthcare, and medical devices, disseminating this knowledge within Cepheid Legal and Compliance.
The ideal candidate will possess:
- A JD from an accredited U.S. law school along with active bar admission in good standing.
- A minimum of 3 years of pertinent experience within a law firm or an in-house legal environment.
- A bachelor’s degree with at least 6 years of related professional experience, or a master’s degree in a relevant field alongside 3 years of related experience.
Bonus qualifications include:
- Experience working on transactions or litigation in the medical diagnostics or healthcare sectors.
- Proficiency in drafting, reviewing, and negotiating diverse agreements, particularly those related to data sharing, collaboration, AI, and vendor/customer dealings.
- Familiarity with advanced technologies or software product development, particularly involving digital products and AI/ML innovations.

The salary range for this role is set between $114,700 and $170,000. This reflects our good faith estimate of compensation for this position at the time of posting and may be adjusted in the future. Additionally, this role is eligible for bonus and incentive compensation.
